Customer hereby certifies that it is\nacting solely as a purchaser or user in the capacity of its occupation or\nbusiness.<o:p><\/o:p><\/span><\/p>\n\n<p class=MsoNormal><b><span lang=EN-US style='font-family:Europa-Regular'>HWS\nSolutions B.V.<\/span><\/b><span lang=EN-US style='font-family:Europa-Regular'><br>\nAddress: <span class=SpellE>Donauweg<\/span> 101043 AJ Amsterdam, the <span\nclass=SpellE>NetherlandsEmail<\/span>: <span class=SpellE>legal@hiber.globalChamber<\/span>\nof Commerce number: 81106343VAT number: NL861933692B01<o:p><\/o:p><\/span><\/p>\n\n<ol style='margin-top:0cm' start=1 type=1>\n <li class=MsoNormal style='mso-list:l3 level1 lfo1'><b><span lang=EN-US\n     style='font-family:Europa-Bold'>Applicability.<\/span><\/b><span lang=EN-US\n     style='font-family:Europa-Regular'><br>\n     These HWS Subscription Services Terms and Conditions (\u201cTerms\u201d) apply to\n     the provision of Services and Equipment by HWS SOLUTIONS B.V., a company\n     registered in Amsterdam, The Netherlands and\/or its affiliated entities in\n     other countries (\u201cHWS\u201d), to end users and other customers (\u201cCustomers\u201d). <span\n     class=GramE>In the event that<\/span> HWS and the Customer have executed a\n     separate agreement, such as a purchase order, master sales agreement,\n     reseller agreement, non-disclosure agreement, etc., and such agreement is\n     in effect as of Customer\u2019s order date, then the terms of such separate\n     agreement shall take precedence over any inconsistent provisions contained\n     in these Terms. <span class=GramE>In the event that<\/span> HWS provides a\n     Quote for Services or Equipment to a Customer and such Quote provides for\n     terms that vary from these Terms, the terms of such Quote shall take\n     precedence over these Terms provided that Customer accepts the Quote\n     within the timeframe specified in such Quote.<o:p><\/o:p><\/span><\/li>\n <li class=MsoNormal style='mso-list:l3 level1 lfo1'><b><span lang=EN-US\n     style='font-family:Europa-Bold'>Definitions.<\/span><\/b><span lang=EN-US\n     style='font-family:Europa-Regular'><br>\n     The following terms shall, when capitalized in these Terms, have the\n     following meanings:<o:p><\/o:p><\/span><\/li>\n <ol style='margin-top:0cm' start=1 type=a>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span class=SpellE><span\n      class=GramE><span lang=EN-US style='font-family:Europa-Regular'>API:Application<\/span><\/span><\/span><span\n      lang=EN-US style='font-family:Europa-Regular'> Programming Interface, the\n      interface by means of which Customer may, at its choice, integrate the\n      data from the End User Asset into its existing monitoring system.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Communications Node or CN: The node\n      supplied by HWS that works in conjunction with an End User Asset and that\n      transmits the Data Package from such End User Asset to Mission Control or\n      other destination via API. The CN may include, for example, a satellite\n      modem, a local terrestrial transmitter used in conjunction with a\n      satellite gateway, an integrated sensor\/transmitter, or some other\n      configuration. The scope of the CN for a particular Service offering is\n      defined in the product specification for such Service offering.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Contract: A Customer\u2019s ordering\n      document under which it purchases Subscriptions.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Customer: The entity purchasing\n      Services from HWS, either as an End User, for integration into its own\n      service or product offering, or for resale to End Users or other parties.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Data Package: The data message\n      generated by or delivered from the End User Asset to the CN and\n      transmitted from the CN to the Customer via Mission Control or other API.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>End User: The operator of the End User\n      Asset; this may be a <span class=GramE>Customer<\/span> or a third party.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>End User Asset: The asset owned or\n      operated by the End User that is being monitored using HWS Services.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Equipment: The hardware provided by\n      HWS to Customer for the duration of the Subscription Period for the\n      purpose of utilizing the Services from HWS, or for sale exclusive of\n      Services.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Intellectual Property: Inventions,\n      designs, discoveries, processes, formulae, trade secrets, research and\n      development information, preparatory designs, design standards,\n      specifications, notations, improvements, know-how, goodwill, reputation,\n      get-up, trade names and marks, internet domain names or similar\n      electronic identifiers, logos, devices, plans, models, drawings,\n      technical, functional or user documentation, computer software (including\n      source code and object code), data, databases, all descriptions of work\n      in which copyright subsists (including without limitation all literary,\n      dramatic, musical and artistic works) and all other related matters.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Intellectual Property Rights: All\n      present and future right title and interest whatsoever whether legal or\n      beneficial anywhere in the world in any and all copyright, registered or\n      unregistered designs, unregistered design rights, trade marks (whether or\n      not registered) goodwill, rights or protections equivalent or similar to\n      copyright, topography rights, patents, petty patents, utility models,\n      database rights,<span style='mso-spacerun:yes'>\u00a0\u00a0 <\/span>confidential\n      information, designations and rights under any international convention\n      for the protection of any of the foregoing and any licenses,\n      applications, or consents respectively granted, applied for, or given in\n      respect of any of the foregoing.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Mission Control: The online interface\n      operated by HWS from which the Customer may choose to manage its account\n      and retrieve its Data Packages.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Products: Services, Equipment, and\n      other products made available to Customer by HWS.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Quote: A valid written offer from HWS\n      to a specific Customer to provide certain Services pursuant to the\n      specified prices, terms, and conditions contained in such offer.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Services: The services supplied to\n      Customer by HWS.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Subscription: The agreement under\n      which HWS provides the relevant solution to Customer, including the\n      rental of included Equipment, the provision of Services, and other agreed\n      components, for the agreed Subscription Period.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Subscription Period: The term during\n      which HWS will provide the applicable Subscription Services to Customer.<o:p><\/o:p><\/span><\/li>\n <\/ol>\n <li class=MsoNormal style='mso-list:l3 level1 lfo1'><b><span lang=EN-US\n     style='font-family:Europa-Bold'>Pricing and Taxes.<o:p><\/o:p><\/span><\/b><\/li>\n <ol style='margin-top:0cm' start=1 type=a>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Subscriptions. All Services are\n      purchased by means of Subscriptions. Subscriptions include the use of the\n      Equipment during the Subscription Period, the transmission of the Data\n      Packages to Mission Control or via API to another destination, and other\n      services as specified in the product specification for the <span\n      class=GramE>particular offering<\/span>.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Commencement of Subscriptions. Each\n      Subscription shall commence upon the earlier of: (<span class=SpellE>i<\/span>)\n      the date of successful completion of installation of the Equipment; and\n      (ii) the date one month after the date of delivery of the Equipment to\n      Customer<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Subscription Terms. The terms for all\n      Subscriptions are included in the Quote or Contract provided by HWS. Such\n      terms may include minimum quantities and service terms. <span\n      class=GramE>In the event that<\/span> Customer defaults on any package\n      subscription plan, HWS may charge a penalty up to and including the full\n      package price. Pursuant to the terms of the Quote or Contract, it may be\n      possible for Customer to change between selected Subscription Periods\n      during the current Subscription Period, with longer Subscription Periods\n      bearing a lower annual Subscription fee and shorter Subscription Periods\n      bearing a higher annual Subscription fee. <span class=GramE>In the event\n      that<\/span> changing between different Subscription Period lengths (both\n      shortening and extending) is permitted by the Quote or Contract, the\n      pricing for the new Subscription Period duration will be applied\n      retroactively. This means that an extension to a longer Subscription\n      Period will include a partial credit, while shortening the Subscription\n      Period, including any permitted termination for convenience, will result\n      in an early cancellation fee. In the event that the Quote or Contract\n      provides for an annual renewal of the Subscription Period rather than a fixed\n      Subscription Period, the Customer must cancel the Subscription no less\n      than three months before the anniversary of the beginning of the relevant\n      annual Subscription Period or the Subscription Period will automatically <span\n      class=GramE>extended<\/span> for an additional year.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Cost Increases. <span class=GramE>In\n      the event that<\/span> HWS experiences a material increase in the cost of\n      network connectivity from its supplier(s) during a particular\n      Subscription Period and is able to demonstrate such increase in cost to\n      Customer, HWS shall retain the right to pass through such connectivity\n      cost increase to Customer by means of an increase to the ongoing charge\n      for Services. Such increase will have no effect on any other cost charged\n      to Customer.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Taxes and Fees. All pricing is\n      exclusive of taxes, regulatory fees, customs fees, and other charges.\n      Customer will be solely responsible for the following: (a) any applicable\n      national, state, provincial, and regional local sales, excise, use or\n      other tax assessment, including VAT or GST where applicable and\n      surcharges or similar charges of any nature levied upon the Service by\n      any governmental taxation or revenue entity (except for taxes based on\n      HWS\u2019s income) arising out of or related to the sale of the Services\n      (\u201cTaxes\u201d); and (b) telecommunications regulatory fees imposed by any\n      governmental authority. If Customer provides HWS with an applicable tax\n      exemption certificate, HWS will work with Customer to obtain applicable\n      tax exemptions to the extent consistent with applicable law.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Currency Rates. All rates are quoted\n      in Euros. If requested by Customer for regulatory reasons, Subscription\n      fees and other charges may be invoiced in the local currency of the\n      country where the Services are being performed. In this case, the Euros\n      Contract price will be converted to the applicable local currency for the\n      purposes of invoicing using the local currency \u201cbuy\u201d exchange rate\n      (according to European Central Bank reference rates) before each invoice\n      is raised. If the invoicing is provided in a currency other than Euros,\n      HWS reserves the right to increase annual Subscription fees rates <span\n      class=GramE>in the event that<\/span> the exchange rate between the Euro\n      and the currency in question fluctuates more than 10 percent in a given\n      year.<o:p><\/o:p><\/span><\/li>\n <\/ol>\n<\/ol>\n\n<p class=MsoListParagraph style='text-indent:-18.0pt;mso-list:l3 level1 lfo1'><![if !supportLists]><b><span\nlang=EN-US style='font-family:Europa-Bold;mso-fareast-font-family:Europa-Bold;\nmso-bidi-font-family:Europa-Bold'><span style='mso-list:Ignore'>4.<span\nstyle='font:7.0pt \"Times New Roman\"'>&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><\/b><![endif]><b><span\nlang=EN-US style='font-family:Europa-Bold'>Acceptance and Payment Terms.<o:p><\/o:p><\/span><\/b><\/p>\n\n<ol style='margin-top:0cm' start=4 type=1>\n <ol style='margin-top:0cm' start=1 type=a>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>All Customer orders shall be deemed\n      accepted by HWS upon the emailed confirmation by HWS of an order placed\n      by Customer or upon the signed acceptance by Customer of a written Quote\n      or Contract from HWS (\u201cAcceptance\u201d).<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Unless otherwise provided in the\n      Quote, all written Quotes from HWS shall be valid for a period of 60 days\n      from the date of the Quote, <span class=GramE>provided that<\/span> Quotes\n      for proofs-of-concept and other short-term or temporary service offerings\n      shall be valid for a period of 30 days.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Unless otherwise provided in the\n      Quote, all Subscriptions are invoiced as follows:<o:p><\/o:p><\/span><\/li>\n  <ol style='margin-top:0cm' start=1 type=i>\n   <li class=MsoNormal style='mso-list:l3 level3 lfo1'><span lang=EN-US\n       style='font-family:Europa-Regular'>For Subscriptions of 5 years or\n       longer duration:<o:p><\/o:p><\/span><\/li>\n  <\/ol>\n <\/ol>\n<\/ol>\n\n<p class=MsoNormal style='margin-left:144.0pt;text-indent:-18.0pt;mso-list:\nl3 level4 lfo1'><![if !supportLists]><span lang=EN-US style='font-size:10.0pt;\nline-height:106%;font-family:\"Noto Sans Symbols\";mso-fareast-font-family:\"Noto Sans Symbols\";\nmso-bidi-font-family:\"Noto Sans Symbols\"'><span style='mso-list:Ignore'>\u25aa<span\nstyle='font:7.0pt \"Times New Roman\"'>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><![endif]><span\nlang=EN-US style='font-family:Europa-Regular'>20% of the total value spread\nevenly over the remaining 4 or more years of the Subscription duration, each\ninstallment payable on the anniversary of the successful installation <span\nclass=GramE>date..<\/span><o:p><\/o:p><\/span><\/p>\n\n<ol style='margin-top:0cm' start=4 type=1>\n <ol style='margin-top:0cm' start=3 type=a>\n  <ol style='margin-top:0cm' start=2 type=i>\n   <li class=MsoNormal style='mso-list:l3 level3 lfo1'><span lang=EN-US\n       style='font-family:Europa-Regular'>For Subscriptions of one year\n       duration:<o:p><\/o:p><\/span><\/li>\n  <\/ol>\n <\/ol>\n<\/ol>\n\n<p class=MsoNormal style='margin-left:144.0pt;text-indent:-18.0pt;mso-list:\nl3 level4 lfo1'><![if !supportLists]><span lang=EN-US style='font-size:10.0pt;\nline-height:106%;font-family:\"Noto Sans Symbols\";mso-fareast-font-family:\"Noto Sans Symbols\";\nmso-bidi-font-family:\"Noto Sans Symbols\"'><span style='mso-list:Ignore'>\u25aa<span\nstyle='font:7.0pt \"Times New Roman\"'>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><![endif]><span\nlang=EN-US style='font-family:Europa-Regular'>70% of the total value upon the\nsigning of the contract; and<o:p><\/o:p><\/span><\/p>\n\n<p class=MsoNormal style='margin-left:144.0pt;text-indent:-18.0pt;mso-list:\nl3 level4 lfo1'><![if !supportLists]><span lang=EN-US style='font-size:10.0pt;\nline-height:106%;font-family:\"Noto Sans Symbols\";mso-fareast-font-family:\"Noto Sans Symbols\";\nmso-bidi-font-family:\"Noto Sans Symbols\"'><span style='mso-list:Ignore'>\u25aa<span\nstyle='font:7.0pt \"Times New Roman\"'>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><![endif]><span\nlang=EN-US style='font-family:Europa-Regular'>30% of the total value upon\nsuccessful installation of the <span class=SpellE>HiberHilo<\/span> solution at\nthe Customer site.<o:p><\/o:p><\/span><\/p>\n\n<ol style='margin-top:0cm' start=4 type=1>\n <ol style='margin-top:0cm' start=3 type=a>\n  <ol style='margin-top:0cm' start=3 type=i>\n   <li class=MsoNormal style='mso-list:l3 level3 lfo1'><span lang=EN-US\n       style='font-family:Europa-Regular'>For Subscriptions with a duration of\n       between 1 and 5 years, the Parties will agree on an appropriate\n       variation of the above two options, provided that no less than 50% of\n       total value shall be payable upon the signing of the contract.<o:p><\/o:p><\/span><\/li>\n   <li class=MsoNormal style='mso-list:l3 level3 lfo1'><span lang=EN-US\n       style='font-family:Europa-Regular'>For all renewals of annual\n       Subscriptions, 100% of the annual renewal Subscription fee shall be\n       invoiced on the first day of the renewal period, which shall be the\n       anniversary of the original Subscription effective date.<o:p><\/o:p><\/span><\/li>\n  <\/ol>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Invoicing and Invoicing Disputes. For\n      any invoices sent by HWS to Customer, payment by Customer shall be\n      received by HWS within thirty (30) days after Customer\u2019s receipt of the\n      invoice. Past due invoices shall accrue interest, as a penalty, at the\n      rate of one and one-half percent (1 \u00bd %) per month or the maximum rate\n      allowed by applicable law, whichever is less. Customer shall be liable\n      for the payment of all fees and expenses, including attorneys\u2019 fees,\n      reasonably incurred in collecting, or attempting to collect, any charges\n      owed hereunder. In case any portion of the invoice is disputed in good\n      faith by Customer, Customer shall notify HWS of the disputed amount\n      within 30 days of the receipt of the invoice in question. Customer and\n      HWS shall each engage a senior member of their management team to resolve\n      the dispute amicably. Customer may withhold any such disputed amounts\n      until the dispute is resolved. <span class=GramE>In the event that<\/span>\n      the parties are unable to resolve the dispute, the parties shall engage\n      in the dispute resolution process specified in Article 11 of these Terms.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>In the event that any Tax, duty,\n      impost, levy or like charge becomes payable in any territory, either by\n      deduction or otherwise, on or in respect of any amount to be paid by\n      Customer to HWS, or which Customer may be required to withhold in respect\n      of any amount due to HWS, such tax, duty, impost levy or like charge\n      shall be for the account of Customer,<span style='mso-spacerun:yes'>\u00a0\u00a0\n      <\/span>and Customer shall pay to HWS such an amount as to yield to HWS a\n      net equal to the amount that but for such tax, levy, impost or charge\n      would have been received by HWS.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Customer Purchase Orders and Terms. <span\n      class=GramE>In the event that<\/span> Customer issues a purchase order to\n      HWS in connection with any Subscription, such purchase order will be\n      treated as an administrative document only and not an offer subject to\n      acceptance, and will not add to, delete from, or modify any of these\n      Terms. Any Customer acceptance or acknowledgement of these Terms shall\n      not serve to modify these Terms unless expressly confirmed in writing by\n      HWS.<o:p><\/o:p><\/span><\/li>\n <\/ol>\n<\/ol>\n\n<p class=MsoListParagraph style='text-indent:-18.0pt;mso-list:l3 level1 lfo1'><![if !supportLists]><b><span\nlang=EN-US style='font-family:Europa-Bold;mso-fareast-font-family:Europa-Bold;\nmso-bidi-font-family:Europa-Bold'><span style='mso-list:Ignore'>5.<span\nstyle='font:7.0pt \"Times New Roman\"'>&nbsp;&nbsp;&nbsp;&nbsp; <\/span><\/span><\/span><\/b><![endif]><b><span\nlang=EN-US style='font-family:Europa-Bold'>Cancellations.<\/span><\/b><span\nlang=EN-US style='font-family:Europa-Bold'>&nbsp;<o:p><\/o:p><\/span><\/p>\n\n<p class=MsoNormal style='margin-left:36.0pt'><span lang=EN-US\nstyle='font-family:Europa-Regular'>Recognizing the unique nature of the\nServices provided by HWS and the pricing structure of HWS\u2019s Subscription\nServices, and excepting termination by Customer under Article 7(f) or Article\n13(a) and any shortening of the Subscription Period under Article 3(c),\nSubscriptions are not permitted to be canceled by the Customer without the\nwritten consent of HWS,<span style='mso-spacerun:yes'>\u00a0\u00a0 <\/span>which will be\nsubject to a cancellation fee of the full remaining value of the Subscription\nin question. For orders to purchase Equipment, all Equipment is special-ordered\nand committed in advance; therefore, orders for the purchase of Equipment\ncannot be cancelled once the order is accepted by HWS.<o:p><\/o:p><\/span><\/p>\n\n<ol style='margin-top:0cm' start=6 type=1>\n <li class=MsoNormal style='mso-list:l3 level1 lfo1'><b><span lang=EN-US\n     style='font-family:Europa-Bold'>Data Protection.<\/span><\/b><span\n     lang=EN-US style='font-family:Europa-Bold'><o:p><\/o:p><\/span><\/li>\n<\/ol>\n\n<p class=MsoNormal style='margin-left:36.0pt'><span lang=EN-US\nstyle='font-family:Europa-Regular'>&nbsp;Customer agrees and understands that\nHWS may store, process and use data collected from Customer for the purposes of\nmanaging Customer\u2019s account, processing the Customer\u2019s orders, and providing\nServices. For additional information on the data that HWS maintains and how it\nis processed, please see HWS\u2019s Privacy Policy posted on HWS\u2019s website. In\naccordance with Article 4 of the General Data Protection Regulation (GDPR), HWS\nwill disclose any data breach as defined in the GDPR in accordance with its\nData Breach Protocol. For a copy of HWS\u2019s Data Breach Protocol, please contact <span\nclass=SpellE>legal@hiber.global<\/span>. In compliance with such Privacy policy,\nHWS may utilize anonymized and amalgamated Customer metadata for research and\nmarketing purposes.<o:p><\/o:p><\/span><\/p>\n\n<ol style='margin-top:0cm' start=7 type=1>\n <li class=MsoNormal style='mso-list:l3 level1 lfo1'><b><span lang=EN-US\n     style='font-family:Europa-Bold'>Service Requirements, On-Line Tools, and\n     Data Package Delivery.<o:p><\/o:p><\/span><\/b><\/li>\n<\/ol>\n\n<ol style='margin-top:0cm' start=1 type=1>\n <ol style='margin-top:0cm' start=1 type=a>\n  <li class=MsoNormal style='mso-list:l0 level2 lfo2'><span lang=EN-US\n      style='font-family:Europa-Regular'>Installation. If the Subscription does\n      not explicitly include installation services from HWS, it is the\n      responsibility of the Customer to properly install and operate the\n      Equipment,&nbsp;which installation shall be undertaken in strict\n      compliance with all instructions, training, and guidance provided by HWS.\n      Customer shall utilize only qualified employees or contractors to\n      undertake such installations. Installations may only be carried out after\n      an installation plan has been developed and approved by both HWS and\n      Customer,&nbsp;and the installation must follow the accepted installation\n      plan in all respects. In all cases, it shall be the Customer\u2019s sole\n      responsibility to install Equipment that is to be connected directly to\n      the Customer assets being monitored, including without limitation\n      wellheads. All such installations shall be carried out by Customer\n      personnel qualified to work on such assets and shall follow and comply\n      will all Customer policies, procedures, and safety guidelines regarding\n      such assets. The Customer shall only utilize hardware approved by HWS.\n      The Customer shall also ensure that the antenna is installed in such a\n      manner as to permit line-of-sight access to the applicable satellite(s).<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l0 level2 lfo2'><span lang=EN-US\n      style='font-family:Europa-Regular'>Installation Plan. HWS shall, prior to\n      the commencement of installation activity by Customer or, if applicable,\n      HWS or a third party, provide an installation plan to the Customer, which\n      plan shall include all relevant system parameters, Equipment identification\n      and locations, and other data necessary for the initiation of services.\n      Customer is responsible for following the installation plan\n      and&nbsp;shall not deviate from it without the approval of HWS.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l0 level2 lfo2'><span lang=EN-US\n      style='font-family:Europa-Regular'>SAFETY-OF-LIFE AND OTHER CRITICAL\n      APPLICATIONS. HWS\u2019S SERVICES ARE HIGH-LATENCY, LOW-TRANSMISSION-RATE\n      SERVICES DESIGNED TO MONITOR NON-CRITICAL ASSETS. HWS\u2019S SERVICES ARE NOT\n      RATED FOR USE IN ANY APPLICATION OR ENVIRONMENT WITH SAFETY-OF-LIFE OR\n      OTHER CRITICAL USE REQUIREMENTS. IN NO EVENT SHALL HWS\u2019S SERVICES BE USED\n      IN ANY APPLICATION WHERE THE SAFETY OF HUMAN LIFE OR OTHER CRITICAL\n      REQUIREMENT DEPENDS UPON THE USE OF THE APPLICATION IN QUESTION, AND HWS\n      EXPLICITLY DISAVOWS ANY LIABILITY FOR ANY USE OF HWS\u2019S SERVICES IN ANY\n      SUCH APPLICATION. IN NO EVENT SHALL HWS\u2019S SERVICES BE UTILIZED IN ANY\n      APPLICATION WHERE A FAILURE IN ANY SENSOR OR ASSET MONITORED BY HWS COULD\n      REASONABLY BE ANTICIPATED TO LEAD TO ANY LOSS OR INJURY TO LIFE OR TO\n      SIGNIFICANT PROPERTY LOSS.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l0 level2 lfo2'><span lang=EN-US\n      style='font-family:Europa-Regular'>Mission Control and API. HWS will\n      provide to each Customer access to Mission Control and\/or to an API for\n      the purpose of allowing the Customer to manage the data transmitted from\n      the End User Asset.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l0 level2 lfo2'><span lang=EN-US\n      style='font-family:Europa-Regular'>Data Package Delivery. HWS will\n      deliver the Data Package to Mission Control or API in the format received\n      from the End User Asset. The Data Package will be encrypted at the CN and\n      will be transmitted and delivered to Mission Control or API in encrypted\n      form. Once delivered to Mission Control or API, Customer shall be able to\n      access the Data Package as desired; each Data Package will include a\n      unique sequential identifier, the identity and location of the\n      transmitting CN, and the time stamp of message transmission.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l0 level2 lfo2'><span lang=EN-US\n      style='font-family:Europa-Regular'>Service Level Agreement. HWS provides\n      a specific availability standard for Services, which is appended to these\n      Terms as Annex 1. This minimum Service Level Agreement (\u201cSLA\u201d) is based\n      on <span class=GramE>a number of<\/span> applicable metrics, including the\n      frequency of measurements agreed between HWS and Customer. HWS\u2019s total\n      liability in connection with an SLA below the specified level for a given\n      period is included in the SLA. <span class=GramE>In the event that<\/span>\n      the Customer is entitled to termination of a Subscription or Contract due\n      to repeated consecutive failures by HWS to meet its SLA obligations, then\n      Customer will have the option to terminate such Subscription or Contract\n      upon notice to HWS. In such case, Customer shall return all Equipment to\n      HWS at Customer\u2019s expense pursuant to Article 8(c)(iii), and the\n      Subscription or Contract shall be terminated upon HWS\u2019s receipt of such\n      Equipment in original condition, normal wear and tear excepted. Upon such\n      termination, HWS will return to Customer any prepaid Subscription Fees\n      previously paid by Customer but for which Service has not yet been\n      provided by HWS, and no further Subscription Fees shall be due from\n      Customer.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l0 level2 lfo2'><span lang=EN-US\n      style='font-family:Europa-Regular'>Service Updates. Customer agrees to\n      allow all updates to the Services and Equipment that are made available\n      to Customer by HWS. Firmware updates, software patches, and other types\n      of updates will be distributed by HWS from time to time, and Customer\n      shall take all actions as are necessary to allow all such updates to be\n      implemented. HWS shall bear no responsibility for any Service or\n      Equipment failures or deficiencies to the extent caused by Customer\u2019s\n      failure to comply with this Article 7(f).<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l0 level2 lfo2'><span lang=EN-US\n      style='font-family:Europa-Regular'>The provision of all Services by HWS\n      is subject to network availability. Services may be temporarily\n      unavailable or limited because of capacity limitations, equipment\n      failure, modifications, upgrades, repairs or similar activities. HWS\n      provides no warranty with respect to the accuracy of any data provided to\n      Customer as part of the Services. EXCEPT AS DESCRIBED IN ARTICLE 7(e),\n      NEITHER HWS NOR ITS AFFILIATES, NOR THEIR OFFICERS, EMPLOYEES, OR AGENTS,\n      SHALL HAVE ANY LIABILITY WHATSOEVER FOR UNAVAILABILITY, INACURACY, OR\n      MALFUNCTION OF ITS SERVICES OR FOR THE FAILURE TO DELIVER ANY DATA\n      PACKAGE. HWS shall have no liability for any action or inaction by\n      Customer, or for any decision made by Customer, that is based on the data\n      provided to Customer as part of the Services.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l0 level2 lfo2'><span lang=EN-US\n      style='font-family:Europa-Regular'>HWS will endeavor to provide all\n      Customers with advanced notice of any planned maintenance that might\n      affect service availability.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l0 level2 lfo2'><span lang=EN-US\n      style='font-family:Europa-Regular'>Emergency Shutdown System:&nbsp;HWS\n      Equipment and Services shall not be relied upon as an Emergency Shutdown\n      system (\u201cESD\u201d) under any circumstances. Due to the nature of the wireless\n      and <span class=SpellE>LoraWAN<\/span> protocols, HWS Equipment and\n      Services that have the capability of closing a valve remotely do so with\n      a slow response time, and system limitations outside of HWS\u2019s control\n      (for example: gateway power is off, gateway antenna is damaged, network\n      outages, obstruction blocking the path of transmission, valve antenna\n      damaged,<span style='mso-spacerun:yes'>\u00a0\u00a0 <\/span>valve not properly\n      maintained, etc.) mean that the valve may not receive the signal or\n      operate properly. HWS specifically disclaims <span class=GramE>any and\n      all<\/span> liability in connection with the use of its Services and\n      Equipment as an ESD system.<o:p><\/o:p><\/span><\/li>\n <\/ol>\n<\/ol>\n\n<ol style='margin-top:0cm' start=8 type=1>\n <li class=MsoNormal style='mso-list:l3 level1 lfo1'><b><span lang=EN-US\n     style='font-family:Europa-Bold'>Equipment.<o:p><\/o:p><\/span><\/b><\/li>\n<\/ol>\n\n<ol style='margin-top:0cm' start=1 type=1>\n <ol style='margin-top:0cm' start=1 type=a>\n  <li class=MsoNormal style='mso-list:l4 level2 lfo3'><span lang=EN-US\n      style='font-family:Europa-Regular'>License to Use Equipment.<o:p><\/o:p><\/span><\/li>\n  <ol style='margin-top:0cm' start=1 type=i>\n   <li class=MsoNormal style='mso-list:l4 level3 lfo3'><span lang=EN-US\n       style='font-family:Europa-Regular'>Permitted Uses. HWS grants a\n       worldwide license to use the <span class=GramE>Equipment<\/span> and all\n       Intellectual Property contained therein for the Equipment\u2019s intended\n       purposes only. Equipment is licensed for use solely in conjunction with\n       Services provided by HWS and its affiliates, resellers, and other\n       authorized distributors. Any other use of the Equipment is strictly\n       prohibited and shall be deemed to be a violation of the relevant\n       Intellectual Property Rights owned by HWS. In no event may Equipment be\n       used in conjunction with services provided by any other service\n       provider.<o:p><\/o:p><\/span><\/li>\n  <\/ol>\n  <li class=MsoNormal style='mso-list:l4 level2 lfo3'><span lang=EN-US\n      style='font-family:Europa-Regular'>Shipping and Warranty on Equipment.<o:p><\/o:p><\/span><\/li>\n  <ol style='margin-top:0cm' start=1 type=i>\n   <li class=MsoNormal style='mso-list:l4 level3 lfo3'><span lang=EN-US\n       style='font-family:Europa-Regular'>Unless otherwise specified in a\n       Quote, all Equipment is shipped \u201cFCA\u2013 HWS\u2019s facility\u201d (Incoterms 2020).<o:p><\/o:p><\/span><\/li>\n   <li class=MsoNormal style='mso-list:l4 level3 lfo3'><span lang=EN-US\n       style='font-family:Europa-Regular'>HWS warrants that title to all\n       Equipment delivered to Customer will be free and clear of all liens,\n       encumbrances, security interests, or other claims.<o:p><\/o:p><\/span><\/li>\n   <li class=MsoNormal style='mso-list:l4 level3 lfo3'><span lang=EN-US\n       style='font-family:Europa-Regular'>Duration of Warranty. For Equipment\n       provided by HWS as part of a Service Subscription, HWS warrants that the\n       Equipment will be free from defects in material and workmanship for the\n       duration of the Subscription Period. For Equipment sold to the Customer,\n       HWS warrants that the Equipment will be free from defects in materials\n       and workmanship for a period of one (1) year following the date of\n       delivery to the Customer.<o:p><\/o:p><\/span><\/li>\n   <li class=MsoNormal style='mso-list:l4 level3 lfo3'><span lang=EN-US\n       style='font-family:Europa-Regular'>All repairs on warrantable defects\n       within the warranty period will be performed at no charge. For the\n       avoidance of doubt, only the parts and labor directly related to the\n       specific warranty-covered repair shall be free of charge. Any additional\n       labor necessary to complete the repair that is unrelated to the direct\n       warranty repair shall be Customer\u2019s responsibility to pay.<o:p><\/o:p><\/span><\/li>\n   <li class=MsoNormal style='mso-list:l4 level3 lfo3'><span lang=EN-US\n       style='font-family:Europa-Regular'>In the event of a warranty claim, HWS\n       shall, at its expense and option, repair or replace the Equipment to\n       achieve conformance and return the Equipment to Customer.<o:p><\/o:p><\/span><\/li>\n   <li class=MsoNormal style='mso-list:l4 level3 lfo3'><span lang=EN-US\n       style='font-family:Europa-Regular'>The warranty shall not apply to any\n       Equipment that has been damaged or has malfunctioned due to: (<span\n       class=SpellE>i<\/span>) accident, (ii) misuse, abuse, or negligence,\n       (iii) alteration or storage in any manner that is inconsistent with\n       HWS\u2019s recommended practices, (iv) failure by the Customer to follow\n       recommended maintenance practices or to update Equipment with software updates\n       or patches made available by HWS; (v) use of components or parts not\n       approved by HWS, or (vi) failure by the Customer to follow the\n       installation requirements set forth in Articles 7(a) and (b) of these\n       Terms. HWS shall not be responsible for any repairs attempted or made by\n       parties not authorized by HWS. Unless otherwise agreed in writing, any\n       opening of the Equipment casing, or repair performed other than by an\n       authorized repair person or facility, shall void this warranty. HWS\n       shall not be responsible for the performance of any Equipment which\n       incorporates items not manufactured by HWS unless such performance is\n       expressly designated as HWS\u2019s responsibility under the terms of a\n       written agreement between HWS and the Customer.<o:p><\/o:p><\/span><\/li>\n   <li class=MsoNormal style='mso-list:l4 level3 lfo3'><span lang=EN-US\n       style='font-family:Europa-Regular'>Software Warranty. HWS warrants to\n       the Customer that all software provided to Customer, including software\n       embedded in Equipment, as delivered or updated by HWS and properly\n       installed and operated on the Equipment it is originally licensed for,\n       will function substantially as described in the relevant product data\n       sheets posted on HWS\u2019s web site,&nbsp;<\/span><span lang=EN-US><a\n       href=\"http:\/\/www.hiber.global\/\"><span style='font-family:Europa-Regular;\n       color:#467886'><a href=\"http:\/\/www.hiber.global\" rel=\"nofollow\">http:\/\/www.hiber.global<\/a><\/span><\/a><\/span><span\n       lang=EN-US style='font-family:Europa-Regular'>, during the warranty\n       period specified in Article 8(b). If any item of software fails to so\n       perform during its warranty period, as the sole remedy HWS will at its\n       discretion provide a suitable fix, patch or workaround for the problem\n       which may be included in a future revision of the software. For specific\n       software that is distributed by HWS as a licensee of third parties,\n       additional warranty terms offered by such third parties to end users may\n       apply. No other warranty for software, either explicit or implicit, is\n       provided by HWS.<o:p><\/o:p><\/span><\/li>\n   <li class=MsoNormal style='mso-list:l4 level3 lfo3'><span lang=EN-US\n       style='font-family:Europa-Regular'>Battery Replacement. Some components\n       supplied to Customer include batteries that are necessary for the\n       component to operate. All such batteries are standard <span class=GramE>commercially-available<\/span>\n       batteries. Unless other arrangements are agreed to by HWS, Customer is\n       responsible for replacing batteries used in the Equipment. HWS shall\n       specify the battery type(s) required for replacement, and Customer shall\n       use only the battery type specified by HWS.<o:p><\/o:p><\/span><\/li>\n   <li class=MsoNormal style='mso-list:l4 level3 lfo3'><span lang=EN-US\n       style='font-family:Europa-Regular'>Unless otherwise provided in a\n       specific Quote, all warranty repairs shall require that the Customer\n       return the Equipment to HWS for repair or replacement. <span\n       class=GramE>In the event that<\/span> a Quote calls for on-site warranty\n       repairs or replacement at Customer\u2019s location, Customer shall be\n       responsible for all actual costs associated with the technician\u2019s travel\n       to the site, including, but not limited to, transportation costs and\n       living expenses. HWS will provide a written estimate of travel costs\n       upon request. Urgent requests for service may incur additional charges.\n       Customer shall provide reasonable access to the site as well as a safe\n       work environment and shall be liable for injuries or death resulting\n       from Customer\u2019s negligent or willful misconduct while the technician is\n       at the Customer\u2019s site.<o:p><\/o:p><\/span><\/li>\n   <li class=MsoNormal style='mso-list:l4 level3 lfo3'><span lang=EN-US\n       style='font-family:Europa-Regular'>The warranties contained herein are\n       exclusive and are given in lieu of all other warranties, expressed,\n       implied or statutory, including the implied warranty of merchantability\n       or fitness for a particular purpose.<o:p><\/o:p><\/span><\/li>\n   <li class=MsoNormal style='mso-list:l4 level3 lfo3'><span lang=EN-US\n       style='font-family:Europa-Regular'>For any repairs requested for damage\n       arising out of the conditions specified in Clause 8(b)(v), HWS will\n       perform the necessary repairs at Customer\u2019s expense.<o:p><\/o:p><\/span><\/li>\n  <\/ol>\n  <li class=MsoNormal style='mso-list:l4 level2 lfo3'><span lang=EN-US\n      style='font-family:Europa-Regular'>Possession and Use of Equipment.<o:p><\/o:p><\/span><\/li>\n  <ol style='margin-top:0cm' start=1 type=i>\n   <li class=MsoNormal style='mso-list:l4 level3 lfo3'><span lang=EN-US\n       style='font-family:Europa-Regular'>HWS reserves the right to retain a\n       security deposit to secure the value of rented or leased Equipment. HWS\n       may run appropriate credit checks on Customer to determine\n       creditworthiness before a rental or lease is permitted.<o:p><\/o:p><\/span><\/li>\n   <li class=MsoNormal style='mso-list:l4 level3 lfo3'><span lang=EN-US\n       style='font-family:Europa-Regular'>HWS shall retain the ownership of\n       rented or leased Equipment during the Subscription Period. Customer will\n       protect HWS\u2019s ownership rights against claims, liens and other\n       encumbrances by Customer\u2019s creditors or other claimants against\n       Customer. Customer will not remove, obliterate, or obscure markings\n       which identify HWS as owner of the Equipment.<o:p><\/o:p><\/span><\/li>\n   <li class=MsoNormal style='mso-list:l4 level3 lfo3'><span lang=EN-US\n       style='font-family:Europa-Regular'>Customer shall return all rented or\n       leased Equipment to HWS at the end of the Subscription Period, at\n       Customer\u2019s expense. Upon receiving back rented or leased Equipment, HWS\n       shall test and examine such Equipment and will notify Customer within\n       ten (10) business days of any damage or excess wear. HWS will invoice\n       Customer for the full cost of restoring the Equipment to good working\n       condition.<o:p><\/o:p><\/span><\/li>\n   <li class=MsoNormal style='mso-list:l4 level3 lfo3'><span lang=EN-US\n       style='font-family:Europa-Regular'>Customer will bear responsibility for\n       all damage to or loss or theft of rented or leased Equipment from the\n       time that the Equipment is shipped by HWS until the time that the\n       Equipment is received back by HWS, except for and normal wear and tear\n       and warrantable effects covered under Article 8(b).<o:p><\/o:p><\/span><\/li>\n   <li class=MsoNormal style='mso-list:l4 level3 lfo3'><span lang=EN-US\n       style='font-family:Europa-Regular'>In the event of any damage or loss to\n       rented or leased Equipment during the Subscription Period, including\n       damage arising out of the conditions specified in Clause 8(b)(v),\n       Customer will promptly give HWS notice thereof and, Customer shall pay\n       to HWS an amount equal to the fair market value of the Equipment in the\n       case of lost,<span style='mso-spacerun:yes'>\u00a0\u00a0 <\/span>stolen, or\n       damaged-beyond-repair Equipment, or the full cost of repair of the\n       Equipment in the case of otherwise damaged Equipment, including all\n       incidental costs such as shipping and insurance. In all such cases, HWS\n       will replace or repair the Equipment, as appropriate, and the\n       Subscription fees and other obligations of the Customer shall continue\n       until the end of the relevant Subscription Period.<o:p><\/o:p><\/span><\/li>\n   <li class=MsoNormal style='mso-list:l4 level3 lfo3'><span lang=EN-US\n       style='font-family:Europa-Regular'>Customer shall maintain rented or\n       leased Equipment as provided by HWS in the relevant installation guide\n       for the product in question.<o:p><\/o:p><\/span><\/li>\n   <li class=MsoNormal style='mso-list:l4 level3 lfo3'><span lang=EN-US\n       style='font-family:Europa-Regular'>If Customer fails to perform any\n       obligation when due under these Terms or the applicable Contract or\n       Quote, or otherwise defaults on its obligations, HWS shall have the\n       right to terminate the Subscription by immediate notice to the Customer.\n       Upon such termination, (<span class=SpellE>i<\/span>) the balance of the\n       applicable Subscription charges will be due and payable immediately and,\n       (ii) HWS shall have the right, at its option, to take possession of and\n       remove the Equipment from service immediately. Any other damages or\n       amount chargeable to the Customer shall be immediately due upon such\n       termination. In addition to failure to perform its obligation elsewhere\n       stated in these Terms, the following shall be defaults by the Customer:<o:p><\/o:p><\/span><\/li>\n  <\/ol>\n <\/ol>\n<\/ol>\n\n<p class=MsoNormal style='margin-left:144.0pt;text-indent:-18.0pt;mso-list:\nl5 level4 lfo8'><![if !supportLists]><span lang=EN-US style='font-family:Europa-Regular;\nmso-fareast-font-family:Europa-Regular;mso-bidi-font-family:Europa-Regular'><span\nstyle='mso-list:Ignore'>A.<span style='font:7.0pt \"Times New Roman\"'>&nbsp;&nbsp;&nbsp;\n<\/span><\/span><\/span><![endif]><span lang=EN-US style='font-family:Europa-Regular'>Issuance\nof writ, attachment, execution, or similar court process against the Customer\nor its <span class=GramE>property;<\/span><o:p><\/o:p><\/span><\/p>\n\n<p class=MsoNormal style='margin-left:144.0pt;text-indent:-18.0pt;mso-list:\nl5 level4 lfo8'><![if !supportLists]><span lang=EN-US style='font-family:Europa-Regular;\nmso-fareast-font-family:Europa-Regular;mso-bidi-font-family:Europa-Regular'><span\nstyle='mso-list:Ignore'>B.<span style='font:7.0pt \"Times New Roman\"'>&nbsp;&nbsp;&nbsp;&nbsp;\n<\/span><\/span><\/span><![endif]><span lang=EN-US style='font-family:Europa-Regular'>Bankruptcy,\nor any application for reorganization protection from creditors, insolvency,\nappointment of a receiver or trustee whether voluntary or <span class=GramE>involuntary;<\/span><o:p><\/o:p><\/span><\/p>\n\n<p class=MsoNormal style='margin-left:144.0pt;text-indent:-18.0pt;mso-list:\nl5 level4 lfo8'><![if !supportLists]><span lang=EN-US style='font-family:Europa-Regular;\nmso-fareast-font-family:Europa-Regular;mso-bidi-font-family:Europa-Regular'><span\nstyle='mso-list:Ignore'>C.<span style='font:7.0pt \"Times New Roman\"'>&nbsp;&nbsp;&nbsp;\n<\/span><\/span><\/span><![endif]><span lang=EN-US style='font-family:Europa-Regular'>Termination\nof the Customer\u2019s <span class=GramE>business;<\/span><o:p><\/o:p><\/span><\/p>\n\n<p class=MsoNormal style='margin-left:144.0pt;text-indent:-18.0pt;mso-list:\nl5 level4 lfo8'><![if !supportLists]><span lang=EN-US style='font-family:Europa-Regular;\nmso-fareast-font-family:Europa-Regular;mso-bidi-font-family:Europa-Regular'><span\nstyle='mso-list:Ignore'>D.<span style='font:7.0pt \"Times New Roman\"'>&nbsp;&nbsp;&nbsp;\n<\/span><\/span><\/span><![endif]><span lang=EN-US style='font-family:Europa-Regular'>If\nany representation made by Customer proves to be false or misleading in any\nmaterial <span class=GramE>respect;<\/span><o:p><\/o:p><\/span><\/p>\n\n<p class=MsoNormal style='margin-left:144.0pt;text-indent:-18.0pt;mso-list:\nl5 level4 lfo8'><![if !supportLists]><span lang=EN-US style='font-family:Europa-Regular;\nmso-fareast-font-family:Europa-Regular;mso-bidi-font-family:Europa-Regular'><span\nstyle='mso-list:Ignore'>E.<span style='font:7.0pt \"Times New Roman\"'>&nbsp;&nbsp;&nbsp;&nbsp;\n<\/span><\/span><\/span><![endif]><span lang=EN-US style='font-family:Europa-Regular'>Any\naction which jeopardizes HWS\u2019s ownership rights or ability to take possession\nof the Equipment.<o:p><\/o:p><\/span><\/p>\n\n<p class=MsoNormal style='margin-left:144.0pt;text-indent:-18.0pt;mso-list:\nl5 level4 lfo8'><![if !supportLists]><span lang=EN-US style='font-family:Europa-Regular;\nmso-fareast-font-family:Europa-Regular;mso-bidi-font-family:Europa-Regular'><span\nstyle='mso-list:Ignore'>F.<span style='font:7.0pt \"Times New Roman\"'>&nbsp;&nbsp;&nbsp;&nbsp;\n<\/span><\/span><\/span><![endif]><span lang=EN-US style='font-family:Europa-Regular'>Any\nuse of the Equipment for improper or illegal purposes or in any way contrary to\nthe requirements of any applicable HWS term or condition, or any failure to pay\nany charge due to HWS on time.<o:p><\/o:p><\/span><\/p>\n\n<p class=MsoNormal style='margin-left:144.0pt;text-indent:-18.0pt;mso-list:\nl5 level4 lfo8'><![if !supportLists]><span lang=EN-US style='font-family:Europa-Regular;\nmso-fareast-font-family:Europa-Regular;mso-bidi-font-family:Europa-Regular'><span\nstyle='mso-list:Ignore'>G.<span style='font:7.0pt \"Times New Roman\"'>&nbsp;&nbsp;&nbsp;\n<\/span><\/span><\/span><![endif]><span lang=EN-US style='font-family:Europa-Regular'>Any\nuse of the Equipment in conjunction with services provided by any service\nprovider other than HWS and its affiliates, resellers, and other authorized\ndistributors.<o:p><\/o:p><\/span><\/p>\n\n<ol style='margin-top:0cm' start=9 type=1>\n <li class=MsoNormal style='mso-list:l3 level1 lfo1'><b><span lang=EN-US\n     style='font-family:Europa-Bold'>Indemnity and Limitation of Liability.<o:p><\/o:p><\/span><\/b><\/li>\n<\/ol>\n\n<ol style='margin-top:0cm' start=1 type=1>\n <ol style='margin-top:0cm' start=1 type=a>\n  <li class=MsoNormal style='mso-list:l6 level2 lfo5'><span lang=EN-US\n      style='font-family:Europa-Regular'>There are no implied or other\n      standards of performance, guarantees or warranties except as expressly\n      stated in these terms, and any express or implied warranties or other\n      terms implied by law, including, but not limited to warranties of\n      merchantability or fitness for any purpose or use are hereby expressly\n      excluded and disclaimed to the fullest extent permitted by law. NEITHER\n      HWS NOR ITS AFFILIATES, NOR THEIR OFFICERS, EMPLOYEES OR AGENTS SHALL BE\n      LIABLE TO CUSTOMER, NOR SHALL CUSTOMER MAKE ANY CLAIM AGAINST HWS OR ITS\n      AFFILIATES, OR THEIR OFFICERS, EMPLOYEES OR AGENTS, FOR CLAIMS, ACTIONS,\n      LOSSES, COSTS AND DAMAGES (\u201cLIABILITIES\u201d) SUSTAINED BY REASON OF ANY\n      UNAVAILABILITY, DELAY, FAULTINESS OR FAILURE OF THE SERVICES. In the\n      event that Customer is selling the Services to a Resale Customer,\n      Customer agrees that it will include in any contracts or terms to such\n      Resale Customer an explicit commitment on the part of the Resale Customer\n      to waive any right to make any claim against HWS for Liabilities sustained\n      by reason of any unavailability,<span style='mso-spacerun:yes'>\u00a0\u00a0\n      <\/span>delay, faultiness or failure of the Services provided by HWS.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l6 level2 lfo5'><span lang=EN-US\n      style='font-family:Europa-Regular'>NEITHER CUSTOMER NOR HWS NOR THEIR\n      AFFILIATES, NOR THEIR OFFICERS, EMPLOYEES OR AGENTS, SHALL BE LIABLE TO\n      THE OTHER, ANY USER, OR OTHER PERSON FOR ANY INDIRECT, CONSEQUENTIAL,\n      INCIDENTAL OR SPECIAL, EXEMPLARY OR PUNITIVE LOSSES OR DAMAGES, INCLUDING\n      WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF EARNINGS, OR LOSS OF\n      BUSINESS OPPORTUNITIES, HOWEVER ARISING, EVEN IF THE PARTY HAS BEEN MADE\n      AWARE OF THE POSSIBILITY OF SUCH LOSS OR DAMAGES OCCURRING. HWS shall not\n      be liable to Customer for infringement of patents or other intellectual\n      property rights arising from manufacture, sale, or use of the Services or\n      the use of the Services in combination with Customer-provided equipment.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l6 level2 lfo5'><span lang=EN-US\n      style='font-family:Europa-Regular'>CUSTOMER SHALL INDEMNIFY HWS AND ITS\n      AFFILIATES AND THEIR OFFICERS, EMPLOYEES, AND AGENTS FROM ANY AND ALL\n      LIABILITIES RELATED TO POLLUTION OR CONTAMINATION EMANATING FROM\n      FACILITIES, PREMISES, OR PROPERTY OWNED OR USED BY CUSTOMER OR ITS\n      AFFILIATES OR FROM ANY EQUIPMENT OWNED OR USED BY CUSTOMER OR ITS\n      AFFILIATES ON WHICH THE EQUIPMENT IS INSTALLED (INCLUDING WITHOUT\n      LIMITATION WELLS AND RESERVOIRS),<span style='mso-spacerun:yes'>\u00a0\u00a0\n      <\/span>REGARDLESS OF CAUSE.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l6 level2 lfo5'><span lang=EN-US\n      style='font-family:Europa-Regular'>CUSTOMER SHALL INDEMNIFY HWS AND ITS\n      AFFILIATES AND THEIR OFFICERS, EMPLOYEES, AND AGENTS FROM ANY AND ALL\n      LIABILITIES ARISING IN CONNECTION WITH INSTALLATION OF ANY EQUIPMENT BY\n      CUSTOMER.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l6 level2 lfo5'><span lang=EN-US\n      style='font-family:Europa-Regular'>Should HWS or its affiliates or their\n      officers, employees, or agents be found liable to Customer under these\n      Terms and Conditions, in no event shall the total liability exceed the\n      amount paid by Customer to HWS over the preceding twelve-month period.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l6 level2 lfo5'><span lang=EN-US\n      style='font-family:Europa-Regular'>Customer shall use the Services in\n      full compliance with all applicable laws and regulations. Customer shall\n      ensure that its Equipment is properly licensed by the relevant\n      governmental authority in the country where the Equipment is installed.\n      Customer shall be responsible for all Liability arising out of or\n      relating to the use of the Services by Customer or otherwise related to\n      any acts or omissions of Customer. Customer shall indemnify and hold HWS\n      and its affiliates as well as their officers, employees and agents\n      harmless from and against all such Liability.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l6 level2 lfo5'><span lang=EN-US\n      style='font-family:Europa-Regular'>Where the provision of Services by HWS\n      to Customer requires that employees or contractors of HWS perform work on\n      premises owned, leased or otherwise occupied by Customer, Customer shall\n      provide a safe and secure work environment, and if applicable transportation,\n      consistent with all applicable industry standards. Customer shall be\n      solely liable for any injury or death to any HWS employee or contractor\n      arising in connection with the gross negligence or willful misconduct of\n      Customer or its employees, contractors, and licensees, and Customer shall\n      indemnify and hold HWS harmless from and against any Liability arising in\n      connection with any such injury or death.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l6 level2 lfo5'><span lang=EN-US\n      style='font-family:Europa-Regular'>Any limitations of liability in these\n      Terms shall not apply in case of: (a) death or personal injury caused by\n      a party\u2019s negligence where it would be illegal under applicable law for a\n      party to exclude or attempt to exclude its liability; and (b) fraud or\n      fraudulent misrepresentation by a party.<o:p><\/o:p><\/span><\/li>\n <\/ol>\n<\/ol>\n\n<ol style='margin-top:0cm' start=10 type=1>\n <li class=MsoNormal style='mso-list:l3 level1 lfo1'><b><span lang=EN-US\n     style='font-family:Europa-Bold'>Excusable Delay and Force Majeure.<\/span><\/b><span\n     lang=EN-US style='font-family:Europa-Regular'><br>\n     Except for Customer\u2019s payment obligations, no party will be liable for any\n     failure to perform due to a cause beyond such party\u2019s reasonable control\n     (\u201cForce Majeure\u201d) including, but not limited to, acts of nature, actions\n     or inaction of any governmental body in either its sovereign or\n     contractual capacity, explosions, fires, floods, earthquakes, epidemics,\n     strikes or other labor difficulties,<span style='mso-spacerun:yes'>\u00a0\u00a0\n     <\/span>freight embargoes, unusually severe weather, riots, war, theft,\n     national emergencies or natural disasters; provided that the party failing\n     to perform promptly notifies the other party of such circumstances and\n     uses its reasonable efforts to avoid or remove such cause of\n     non-performance. During any period when performance of a party\u2019s\n     obligation is prevented by Force Majeure, that obligation shall be\n     suspended for the duration of the period of Force Majeure. Upon removal or\n     cessation of such cause of non-performance, all obligations will resume<o:p><\/o:p><\/span><\/li>\n <li class=MsoNormal style='mso-list:l3 level1 lfo1'><b><span lang=EN-US\n     style='font-family:Europa-Bold'>Governing Law and Disputes.<o:p><\/o:p><\/span><\/b><\/li>\n <ol style='margin-top:0cm' start=1 type=a>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>These Terms and the sale of the\n      Services shall be governed by and interpreted in accordance with the laws\n      of The Netherlands, excluding any conflict of law or choice-of-law\n      provisions or principles that would require the application of the laws\n      of any other jurisdiction.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Any disputes arising in connection\n      with the sale of the Services or these Terms shall be finally and\n      exclusively resolved by arbitration conducted in Amsterdam, The\n      Netherlands. The rules for such arbitration shall be the Rules of\n      Arbitration of the International Chamber of Commerce (\u201cICC Rules\u201d) then\n      in effect, as such ICC Rules may be modified by this Article 11. To the\n      extent that the ICC Rules <span class=GramE>are in conflict with<\/span>\n      Article 11, the provisions of this Article 11 shall prevail. The\n      following shall apply to any arbitral proceeding conducted pursuant to\n      this Article 11:<o:p><\/o:p><\/span><\/li>\n <\/ol>\n<\/ol>\n\n<ol style='margin-top:0cm' start=1 type=1>\n <ol style='margin-top:0cm' start=1 type=a>\n  <ol style='margin-top:0cm' start=0 type=1>\n   <li class=MsoNormal style='mso-list:l1 level3 lfo6'><span lang=EN-US\n       style='font-family:Europa-Regular'>One or more arbitrators will be\n       appointed for the arbitration by the ICC in accordance with the ICC\n       Rules. Each arbitrator shall be fluent in the English language and be\n       familiar with the Governing Law. The arbitration proceeding shall be\n       conducted in the English language.<o:p><\/o:p><\/span><\/li>\n   <li class=MsoNormal style='mso-list:l1 level3 lfo6'><span lang=EN-US\n       style='font-family:Europa-Regular'>Any award of the arbitrators shall be\n       enforceable by any court having jurisdiction over the party against\n       which the award has been rendered, or wherever assets of the party\n       against which the award has been rendered can be located. The award may\n       not include any damages waived by a party pursuant to these Terms.<o:p><\/o:p><\/span><\/li>\n   <li class=MsoNormal style='mso-list:l1 level3 lfo6'><span lang=EN-US\n       style='font-family:Europa-Regular'>The arbitration award shall be final\n       and binding on the parties, and each party hereby <span class=GramE>waives\n       any right of appeal to any court or tribunal of competent jurisdiction\n       to the fullest extent<\/span> permitted by the governing law.<o:p><\/o:p><\/span><\/li>\n  <\/ol>\n  <li class=MsoNormal style='mso-list:l1 level2 lfo6'><span lang=EN-US\n      style='font-family:Europa-Regular'>These Terms do not permit class or\n      collective arbitrations in any manner, even if the ICC Rules would permit\n      such claims. Notwithstanding any other provision of these Terms, the\n      arbitrator may award money or injunctive relief only in favor of the\n      individual party seeking relief and only to the extent necessary to\n      provide relief warranted by that party\u2019s individual claim. No class or\n      representative or other aggregate litigation theory of liability or\n      prayer for relief may be maintained in any arbitration held under these\n      Terms. Any question regarding the enforceability or interpretation of\n      this Article 11(c) shall be decided by a court of competent jurisdiction\n      and not the arbitrator.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l1 level2 lfo6'><span lang=EN-US\n      style='font-family:Europa-Regular'>Notwithstanding the provisions of\n      Article 11(b), any action to collect money owed to HWS may be brought by\n      HWS in any court of competent jurisdiction. In any such case, Customer\n      shall pay all costs incurred by HWS in such action, including without\n      limitation court costs and attorneys\u2019 fees.<o:p><\/o:p><\/span><\/li>\n <\/ol>\n<\/ol>\n\n<ol style='margin-top:0cm' start=12 type=1>\n <li class=MsoNormal style='mso-list:l3 level1 lfo1'><b><span lang=EN-US\n     style='font-family:Europa-Bold'>Export Licensing, Regulatory, Anti-Corruption,\n     and Other Requirements.<o:p><\/o:p><\/span><\/b><\/li>\n <ol style='margin-top:0cm' start=1 type=a>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>The supply of Services and Equipment\n      may be subject to applicable export, international sanctions, and\n      anti-money laundering laws and regulations. The parties will comply with\n      all such applicable laws, including without limitation export, trade\n      compliance, embargo, anti-money laundering, and sanctions laws and\n      regulations of the European Union, the United States of America, and the\n      United Nations. Customer shall provide adequate information as requested\n      by HWS to identify the ultimate user or owner of all products and\n      Services provided by HWS Under no circumstances may the Services or\n      Equipment be operated in the following countries, or provided to\n      nationals of the following countries, without prior written proof to\n      HWS\u2019s satisfaction that Customer holds all required authorizations from\n      all relevant EU and US authorities:<span style='mso-spacerun:yes'>\u00a0\u00a0\n      <\/span>Iran, Cuba, Russia, Sudan, Syria, and North Korea.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Export. Customer shall comply with the\n      terms of all relevant export licenses as well as with all relevant export\n      and import laws of the European Union and the United States of America\n      and other applicable countries to ensure that the Services and Equipment\n      are not re-exported or otherwise transferred in violation of such laws.\n      Customer shall be solely responsible for obtaining any required import\n      and export licenses.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Regulatory. Customer recognizes that\n      HWS does not control the installation and use of the Services and\n      Equipment and therefore cannot guarantee the proper licensing in every\n      jurisdiction in which they are used. Customer shall ensure the proper\n      licensing and certification of all Services and Equipment in all\n      countries in which it operates.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Anti-Corruption. Customer shall comply\n      with applicable laws and regulations relating to anti-corruption,\n      including, without limitation, (<span class=SpellE>i<\/span>) the United\n      States Foreign Corrupt Practices Act, (ii) the United Kingdom Bribery Act\n      2010, and (iii) anti-corruption laws in any country in which the Customer\n      is organized or located or where the Services are to be performed.\n      Customer warrants that it will (a) comply in all respects with such laws\n      and regulations, including the comparable laws of all jurisdictions where\n      it or its agents are conducting business, (b) provide written\n      certification of its compliance with the foregoing when asked by HWS, and\n      (c) cooperate with HWS and its designees at Customer\u2019s expense in any\n      inquiry or investigation of Customer or its agents regarding their\n      conduct or alleged conduct relating to compliance or failure to comply\n      with any of the foregoing.<o:p><\/o:p><\/span><\/li>\n <\/ol>\n <li class=MsoNormal style='mso-list:l3 level1 lfo1'><b><span lang=EN-US\n     style='font-family:Europa-Bold'>Terms Specific to Reseller Customers<o:p><\/o:p><\/span><\/b><\/li>\n<\/ol>\n\n<p class=MsoNormal style='margin-left:70.85pt;text-indent:-14.15pt'><span\nlang=EN-US style='font-family:Europa-Regular'>a.<span style='mso-tab-count:\n1'>\u00a0 <\/span><u>Provisions Applicable to Resale of Services<\/u>.<span\nstyle='mso-spacerun:yes'>\u00a0 <\/span><span class=GramE>In the event that<\/span>\nCustomer is purchasing Services or Equipment for resale to downstream parties\n(\u201cResale Customers\u201d), the provisions of this Article 13 shall apply to such\nresale, in addition to the other provisions of these Terms.<o:p><\/o:p><\/span><\/p>\n\n<p class=MsoNormal style='margin-left:70.85pt;text-indent:-14.15pt'><span\nlang=EN-US style='font-family:Europa-Regular'>b.<span style='mso-tab-count:\n1'>\u00a0 <\/span>Customer shall employ appropriate screening methods for its Resale\nCustomers to ensure that it and all of its Resale Customers comply in full <span\nclass=GramE>with<\/span> the provisions of Article 12.<span\nstyle='mso-spacerun:yes'>\u00a0 <\/span>Customer shall not resell Services for use in\nany country where such use would be illegal under applicable EU, US, or other\nlaw.<span style='mso-spacerun:yes'>\u00a0 <\/span>Customer shall, upon request by HWS\nand as permitted <span class=GramE>by ,<\/span> provide information of its\nResale Customers to HWS to enable HWS to verify compliance with this\nArticle.<span style='mso-spacerun:yes'>\u00a0 <\/span>HWS shall be entitled to\nterminate all business with Customer immediately and without penalty for any\nviolation by Customer of this Article.<o:p><\/o:p><\/span><\/p>\n\n<p class=MsoNormal style='margin-left:70.85pt;text-indent:-14.15pt'><span\nlang=EN-US style='font-family:Europa-Regular'>c.<span style='mso-tab-count:\n1'>\u00a0 <\/span>Customer shall perform all accounting, billing and collections\nactivities necessary with respect to its Resale Customers and shall be solely\nresponsible for all expenses related to the performance of such activities.\nCustomer shall be solely responsible for all credit risk relating to its Resale\nCustomers and shall be responsible for paying all amounts due to HWS for such\nservices notwithstanding any non-payment by or disputes with any Resale\nCustomers; it is Customer\u2019s responsibility to ensure that all Equipment and\nassociated hardware and software are properly configured with respect to the\nServices being used.<span style='mso-spacerun:yes'>\u00a0 <\/span>Customer may pass\nthrough the SLA guarantees specified in Article 7(f) to its Resale Customers at\nits sole discretion.<o:p><\/o:p><\/span><\/p>\n\n<p class=MsoNormal style='margin-left:70.85pt;text-indent:-14.15pt'><span\nlang=EN-US style='font-family:Europa-Regular'>d.<span style='mso-tab-count:\n1'>\u00a0 <\/span>Customer shall defend, indemnify and hold harmless HWS and it\nofficers, employees, and agents against all claims, actions, losses, costs and\ndamages arising from claims by Resale Customers or third parties relating to\nthe use of the Services by such Resale Customers, except to the extent such\nclaims are based upon the gross negligence or willful misconduct of HWS. <o:p><\/o:p><\/span><\/p>\n\n<p class=MsoNormal style='margin-left:70.85pt;text-indent:-14.15pt'><span\nlang=EN-US style='font-family:Europa-Regular'>e.<span style='mso-tab-count:\n1'>\u00a0 <\/span>Customer shall be solely responsible for all Taxes, tariffs and\nsurcharges, if any, arising from the purchase of Services by Customer and the\nresale to its Resale Customers. This includes but is not limited to Customer\nbeing responsible for payment or reimbursement of any goods and services taxes,\nvalue added taxes, and income taxes, universal service levies, charges, levies,\nduties, withholding, usage or other fees which may be asserted against Customer\nor HWS by any governmental entity with respect to or arising out of the\nprovision of Services hereunder. All rates paid by Customer are exclusive of\nall such amounts.<o:p><\/o:p><\/span><\/p>\n\n<p class=MsoNormal style='margin-left:70.85pt;text-indent:-14.15pt'><span\nlang=EN-US style='font-family:Europa-Regular'>f.<span style='mso-tab-count:\n1'>\u00a0\u00a0 <\/span>Customer shall only permit the use by its Resale Customers of\nEquipment that is certified for use by HWS.<o:p><\/o:p><\/span><\/p>\n\n<p class=MsoNormal style='margin-left:70.85pt;text-indent:-14.15pt'><span\nlang=EN-US style='font-family:Europa-Regular'>g.<span style='mso-tab-count:\n1'>\u00a0 <\/span>Customer shall require its Resale Customers to abide by terms\nconsistent with these Terms.<span style='mso-spacerun:yes'>\u00a0 <\/span>Customer\nshall require any Resale Customers to use the Services, Mission Control, and\nany other facilities, services, information, hardware, and data that may be\nprovided under these Terms only for lawful purposes and in compliance with all\napplicable laws and regulations of the territories in which Customer or any\nResale Customer uses the same or to which it is otherwise subject, including\nwithout limitation telecommunications licensing, export control requirements,\npatent, copyright, trademark, and any other intellectual property rights, and\nlaws concerning defamation, obscenity, privacy and data protection.<o:p><\/o:p><\/span><\/p>\n\n<p class=MsoNormal style='margin-left:70.85pt;text-indent:-14.15pt'><span\nlang=EN-US style='font-family:Europa-Regular'>h.<span style='mso-tab-count:\n1'>\u00a0 <\/span>Customer shall maintain, at its own expense, all regulatory\nlicenses and certifications, governmental or otherwise, necessary for Customer\nto provide for resale the Services under these Terms to the extent that HWS\ndoes not provide such licenses and certifications itself. Specifically,\nCustomer is responsible for service provider licenses to market and\/or sell\nservices to Resale Customers within all countries in which it engages in\nbusiness or where its Resale Customers operate.<o:p><\/o:p><\/span><\/p>\n\n<p class=MsoNormal style='margin-left:70.85pt;text-indent:-14.15pt'><span\nclass=SpellE><span lang=EN-US style='font-family:Europa-Regular'>i<\/span><\/span><span\nlang=EN-US style='font-family:Europa-Regular'>.<span style='mso-tab-count:1'>\u00a0\u00a0 <\/span>Customer\nshall be solely responsible for providing first-level support relating to\nServices to its Resale Customers.<span style='mso-spacerun:yes'>\u00a0 <\/span>HWS\nshall provide second- and third-level support with respect to any Resale\nCustomer Service issues that are not supported by means of the on-line Mission\nControl tools or through information that can be extracted using the on-line\nplatform.<span style='mso-spacerun:yes'>\u00a0 <\/span>HWS reserves the right to\ncharge Customer a support fee for non-routine support provided to any of its\nResale Customers.<o:p><\/o:p><\/span><\/p>\n\n<p class=MsoNormal style='margin-left:70.85pt;text-indent:-14.15pt'><span\nlang=EN-US style='font-family:Europa-Regular'>j.<span style='mso-tab-count:\n1'>\u00a0\u00a0 <\/span>Unless the Customer orders such services to be provided by Hiber,\nthe Customer shall be responsible for <span class=GramE>all of<\/span> its\nEquipment, including installation, commissioning, integration, validation,\nactivation, and maintenance (including the performance of any such tasks by a\nthird-party integrator or supplier engaged by the Customer. <o:p><\/o:p><\/span><\/p>\n\n<p class=MsoNormal style='margin-left:70.85pt;text-indent:-14.15pt'><span\nlang=EN-US style='font-family:Europa-Regular'>k.<span style='mso-tab-count:\n1'>\u00a0 <\/span> Use of Trademarks.<span style='mso-spacerun:yes'>\u00a0 <\/span>HWS\nhereby grants Customer a non-transferable, non-sublicensable, non-exclusive\nlicense to use certain trademarks, trade names, service marks, other commercial\nsymbols, designs and logos owned by HWS (hereinafter &quot;Marks\u201d) for the\npurpose of promoting and reselling the Services to Resale Customers.<span\nstyle='mso-spacerun:yes'>\u00a0 <\/span>Customer acknowledges that the Marks are the\nexclusive property of HWS and that neither these Terms nor the carrying on of\nbusiness by Customer will in any way give Customer any interest or ownership in\nany of the Marks, or in other promotional advertising or other written material\nprepared by HWS regarding the Services.<span style='mso-spacerun:yes'>\u00a0\n<\/span>Customer must cease use of the Marks upon written notice from HWS or\nupon termination of the business relationship.<span style='mso-spacerun:yes'>\u00a0\n<\/span>Customer must obtain the written approval of HWS to apply the Marks to\nservices other than those covered under this Terms. <o:p><\/o:p><\/span><\/p>\n\n<ol style='margin-top:0cm' start=14 type=1>\n <li class=MsoNormal style='mso-list:l3 level1 lfo1'><b><span lang=EN-US\n     style='font-family:Europa-Bold'>Changes to Term, Notices, and\n     Communications<\/span><\/b><span lang=EN-US style='font-family:Europa-Bold'>.<o:p><\/o:p><\/span><\/li>\n <ol style='margin-top:0cm' start=1 type=a>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>HWS retains the right to modify these\n      Terms at any time. HWS will provide thirty days\u2019 notice to Customer of\n      any such changes, such notice to be provided electronically to the\n      Customer\u2019s email account of record or, if applicable, by means of a\n      notification posted in the Customer\u2019s Mission Control account. Customer\u2019s\n      continued use of Service after the notified modification takes effect\n      shall indicate acceptance by the Customer of such modification. If the\n      Customer can demonstrate that the specific modification of the Terms will\n      have a material adverse effect on the Service provided to Customer, then\n      Customer shall have a right to cancel the affected Subscription(s) within\n      30 days of receiving the notice with no early termination fee if HWS\n      fails to mitigate the change after notification by Customer of the <span\n      class=SpellE>adverse <span class=GramE>affect<\/span><\/span>.\n      Notwithstanding this provision, any changes to the dispute resolution\n      provision of Article 11 shall not affect the resolution of any disputes\n      that arose before such change.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>All notices and communications\n      permitted or required (\u201cNotices\u201d) shall be in writing in the English\n      language and shall be sent by facsimile, overnight courier, or certified\n      mail, as appropriate <span class=GramE>in light of<\/span> the subject\n      matter of the Notice. All notices to HWS shall be sent to the <span\n      class=SpellE><span class=GramE>following:HWS<\/span><\/span> SOLUTIONS <span\n      class=SpellE>B.V.Attn<\/span>: Legal <span class=SpellE>DepartmentDonauweg<\/span>\n      101043 AJ Amsterdam, The Netherlands<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l3 level2 lfo1'><span lang=EN-US\n      style='font-family:Europa-Regular'>Customer agrees that HWS may use its\n      name and logo in press releases, case studies, and on HWS\u2019s web site. Any\n      specific press releases concerning Customer\u2019s use of the Services will be\n      provided to Customer for review prior to publication.<o:p><\/o:p><\/span><\/li>\n <\/ol>\n <li class=MsoNormal style='mso-list:l3 level1 lfo1'><b><span lang=EN-US\n     style='font-family:Europa-Bold'>Severability.<\/span><\/b><span lang=EN-US\n     style='font-family:Europa-Regular'><br>\n     If any provision of these Terms is declared invalid, illegal or\n     unenforceable by a court or regulatory agency of competent jurisdiction,\n     the validity, legality and enforceability of the remaining provisions\n     shall not in any way be affected or impaired thereby. <span class=GramE>In\n     the event that<\/span> any such provision is declared invalid, illegal or\n     unenforceable due to its scope, breadth or duration, then it shall be\n     modified to the scope, breadth or duration permitted by law and shall\n     continue to be fully enforceable as so modified.<o:p><\/o:p><\/span><\/li>\n <li class=MsoNormal style='mso-list:l3 level1 lfo1'><b><span lang=EN-US\n     style='font-family:Europa-Bold'>Intellectual Property and Proprietary\n     Rights and Disclosure:<o:p><\/o:p><\/span><\/b><\/li>\n<\/ol>\n\n<ol style='margin-top:0cm' start=1 type=1>\n <ol style='margin-top:0cm' start=1 type=a>\n  <li class=MsoNormal style='mso-list:l2 level2 lfo7'><span lang=EN-US\n      style='font-family:Europa-Regular'>Development Activities. <span\n      class=GramE>In the event that<\/span> Customer and HWS work toward the\n      development of new applications or devices, this paragraph shall govern\n      the Intellectual Property rights of each party with respect to such\n      development. Each party shall each retain ownership of the Intellectual\n      Property Rights in any Intellectual Property it owns or that it developed\n      or develops prior to or outside such development, subject to any rights\n      of third parties. Subject to third party rights, each party shall retain\n      ownership of the Intellectual Property Rights in any Intellectual\n      Property it <span class=GramE>produces<\/span> or it develops alone in the\n      course of development. Such party shall be free to use and protect them.\n      Each party hereby grants the other party, to the extent that such a\n      license is necessary for the full and proper performance of the other\n      party\u2019s development activities, a royalty free, non-exclusive,\n      non-transferable license to use its Intellectual Property Rights solely\n      for the purposes of such development activities. Each party agrees not to\n      cause or permit the reverse engineering, disassembly or de-compilation of\n      the Intellectual Property made available to it by the other party.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l2 level2 lfo7'><span lang=EN-US\n      style='font-family:Europa-Regular'>All information including, but not\n      limited to drawings, prints, publications, specifications, processes,\n      manufacturing techniques, software products and programs (in object code\n      or any other form), and other intellectual property, accessed or obtained\n      by the Customer prior to and during the provision of the Services under\n      these Terms shall be received in confidence by the Customer and shall\n      remain the property of HWS. Such information shall not be reproduced,\n      used, or disclosed to any third party by the Customer without the prior\n      written consent of HWS.<o:p><\/o:p><\/span><\/li>\n  <li class=MsoNormal style='mso-list:l2 level2 lfo7'><span lang=EN-US\n      style='font-family:Europa-Regular'>Duties and Responsibilities:<o:p><\/o:p><\/span><\/li>\n  <ol style='margin-top:0cm' start=1 type=i>\n   <li class=MsoNormal style='mso-list:l2 level3 lfo7'><span lang=EN-US\n       style='font-family:Europa-Regular'>The Customer shall make no attempt,\n       nor authorize any other party, to reverse engineer, (including reverse\n       compile, disassemble or otherwise reverse engineer), modify or make\n       derivatives of any Service, hardware, software, prototype, data or other\n       supplies delivered, provided or disclosed by HWS. Customer agrees that\n       it will not induce its Resale Customer, as applicable, or any other\n       third party to perform any such reverse engineering.<o:p><\/o:p><\/span><\/li>\n   <li class=MsoNormal style='mso-list:l2 level3 lfo7'><span lang=EN-US\n       style='font-family:Europa-Regular'>Each party shall respect the\n       proprietary and patent interests of the other party and shall endeavor\n       to prevent the disclosure or use of data so identified to or by persons\n       not specifically authorized to receive such information. Proprietary\n       data, if any, shall be used only for the purpose defined in this\n       contract.<o:p><\/o:p><\/span><\/li>\n  <\/ol>\n <\/ol>\n<\/ol>\n\n<ol style='margin-top:0cm' start=17 type=1>\n <li class=MsoNormal style='mso-list:l3 level1 lfo1'><span lang=EN-US\n     style='font-family:Europa-Bold'>Relationship of Parties:<\/span><span\n     lang=EN-US style='font-family:Europa-Regular'><br>\n     Nothing in these Terms shall grant to either party the right to make\n     commitments of any kind for or on behalf of the other party.
